Introduction 

We respect your privacy and are committed to protecting it through our compliance with this policy. This policy describes the types of information we may collect from you or that you may provide when you visit the website TradePending.com (our “Website”) and use our products or services that we make available to you to use or access as an approved customer or end user, including our platform and portal, and any components or features therein and any additional products or services provided by us (our “Application”)(collectively, the “Services”), and our practices for collecting, using, maintaining, protecting and disclosing that information.

This policy applies to any information that we collect on the Website and Application, including any information in any e-mails and other electronic messages between you and our Services and any information about you transferred to the Services from other websites or mobile or desktop applications. It also applies to individuals who access and use the Services on behalf of a business customer. 

This policy does not apply to the collection and processing of information on behalf of customers of our enterprise or business offerings, which are governed by our customer contracts. If you have questions about the use of information by a business customer, please reach out to the relevant customer directly. This policy does not apply to any information that we collect by any other means, including offline collection. This policy does not apply to the processing or collection of personal information by our business customers, please refer to such customer’s own privacy policies. 

Please read this policy carefully to understand our policies and practices regarding your information and how we will treat it. If you do not agree with our policies and practices, you can choose not to use our Services. By accessing or using our Services, you agree to this privacy policy. This policy may change from time to time. Your continued use of the Services after we make changes is deemed to be acceptance of those changes, so please check the policy periodically for updates.

1. Information We Collect About You and How We Collect It

Generally

We collect several types of information from and about users of our Services, including information by which you may be personally identified or information about an individual that is maintained in personally identifiable form (“Personal Information”). Specifically, we (or our third-party service providers acting on our behalf) may collect the following:

  • Account and Contact Information. When you create an account, we collect your name, email address and account password. We may also collect other information associated with your account, such as your phone number, business/company name and position, mailing address and social media handles. 
  • Organization Information. If you are accessing the Services as part of your organization’s enterprise subscription to our Services, then we may collect information about your organization and your role within your organization, such as your job title, your employee ID, date of hire, employment status, and your organization’s name, industry, size of business, number and location of offices, states of operation and postal address.
  • User Input. When you use our Services, we collect personal information that is included in the text, voice, scripts, images, videos, and other input (as further described in our terms and conditions and applicable terms for certain features) that you provide to generate content, scripts, videos, avatars, and other forms of output, alongside metadata associated with the input. As described below, we may use the input that you provide us to improve our services. Some of the features of the Services require us (or our third-party service provider acting on our behalf) to process parts of faces or bodies within a video or photo, and this may include face imagery. The information we use for this process is used to create and personalize avatars and create content for your and your organization’s use.   • Communications Information. We collect your name, email address, and other information you provide in communications with us, including through our contact page or otherwise when interacting with us online. This also includes usage, settings, and product preferences related to our Services. 
  • Internet Activity. Information related to Internet or other similar network activity, including browsing history, search history, and information on your interaction with our Website or on your interaction with advertisements on our Website or other websites. This also includes the Technical Information described in the section below titled “Traffic, Usage, and Computer/Device Information.”
  • Sensitive Personal Information. As noted above, if you submit certain user input to us as part of features that require face imagery in videos and photos, Personal Information collected from and about you or your other contacts may include several types of information that fall within the definition of “sensitive personal information” or similar terms or concepts used under applicable data privacy laws (collectively, “Sensitive Personal Information”). If we do collect any such Sensitive Personal Information, we will use such information on a limited basis only (i) as necessary to perform services or provide products reasonably expected by an average person who requests those products or services from us; (ii) for purposes of helping to ensure security and integrity to the extent the use of such Sensitive Personal Information is reasonably necessary and proportionate for these purposes; (iii) as a service provider to another business performing services on behalf of that business, including maintaining or servicing accounts, providing customer service, processing or fulfilling orders and transactions, verifying end-user information, providing analytic services, providing storage, or providing similar services on behalf of the business; (iv) for purposes of undertaking activities to verify or maintain the quality or safety or a service or device that is owned, manufactured, manufactured for, or controlled by us, and to improve, upgrade, or enhance the service or device that is owned, manufactured, manufactured for, or controlled by us; or (v) as otherwise permitted by applicable law and regulations.
  • Third-Party Data. We may obtain Personal Information and other data from integrated third-party applications, programs and/or devices that you may elect to use in connection with the Services (“Programs”) or from third parties who offer products that can be used in connection with our Services. You should review the third-party privacy policies applicable to information transferred to us from Programs or from such third parties, since they may allow different or broader uses of that information than would be permitted by our Privacy Policy. We may obtain Personal Information about you from your employer in order for you to be able to use our Services. Your employer subscribes to our Services and provides us with information so we can provide services to you.

Traffic, Usage, and Computer/Device Information; Cookie Policy

Additionally, as you navigate through and interact with our Website or with the emails and other electronic messages we send to you, we or our third-party service providers may automatically collect Internet Activity and certain traffic data, usage information, and information about your computer equipment or mobile device, such as your browser and operating system, your wireless carrier, the geographic region from which you are accessing the Website, time-stamped logs regarding access times and duration of visits, the pages of our Website that you visit, whether you opened the e-mail message we sent to you and whether you clicked on any links in the message, configuration data, clickstream analytics, and your actions and patterns when you use our Website or interact with our e-mail messages (collectively, “Technical Information”). The technologies we use for this automatic data collection may include cookies that are stored on the browser of your computer or mobile device, small embedded electronic files known as web beacons (also referred to as clear gifs, pixel tags, and single-pixel gifs), and other types of embedded code. We collect this information to manage our content and improve users’ use of our Website; to count and review the number of users of our Website and their usage patterns; to track key performance indicators such as pages accessed, frequency of access, conversions (the number of users who click on our advertisements and then go on to make a product purchase), and other statistical information related to our Website and the performance of our e-mail messages (for example, recording the popularity of certain content and verifying system and server integrity); to identify the portion of users who access our Website via different web browsers or mobile operating systems; to recognize if a user is a return user of our Website; to store information about a user’s visits; to remember a user’s preferences; and for similar purposes in connection with monitoring, operating, maintaining, and improving our Website. Third parties may also collect Technical Information, Internet Activity, and other information on our behalf as further described in the section below titled “Use of Google Analytics.”

2. How We Use Your Information

Generally

We use information that we collect about you or that you provide to us, including any Personal Information, to provide our Services and related content to you, to provide you with information, products or services that you request from us and to fulfill any other purpose for which you provide the information including processing transactions with you and others, customer support, login authentication, and to verify accounts and activity. 

We also provide tailored communications, personalization, customization, and content based on your activity and interactions with us. We also send you communications as you onboard to a particular part of our Services to help you become more proficient in using that Service. We may also contact you to provide you with support. These communications are part of the Services and in most cases you cannot opt out of them. If an opt out is available, you will find that option within the communication itself or in your account settings. For example, as part of our Text Message Alert Service (as described below), we provide you with informational text message communications as described below in the section titled “Text Message Alert Service.”

We also use information we collect about you to help maintain the safety, security, and integrity of our Services, databases and other technology assets and our business.

We may create a profile about you reflecting your personal preferences, patterns and behavior. We may send you promotional newsletters or marketing material if you choose to receive such promotional information. 

We may provide you with informational and promotional content and materials regarding our products and services or the products of affiliates or third parties with whom we have partnered that we believe may be of interest to you.

We use collective learnings about how people use our Services and feedback provided directly to us to troubleshoot and to identify trends, usage, activity patterns and areas for integration and improvement of the Services. We may also use content and personal information to enhance, test, train and improve our Services and integrated AI technologies and models.

We may also use your Personal Information to notify you about changes to our Services or any products or services we offer or provide through it and to carry out our obligations. 

Where required by law or where we believe it is necessary to protect our legal rights, interests and the interests of others, we use information about you in connection with legal claims, compliance, regulatory, and audit functions, billing and collection, and disclosures in connection with the acquisition, reorganization, merger or sale of a business.

We may also use the information that you provide in any other way that we describe when you provide the information and for any other specific purpose with your consent.

If you have consented to our use of information about you for a specific purpose, you have the right to change your mind at any time, but this will not affect any processing that has already taken place. Where we are using your information because we or a third party (e.g. your employer) have a legitimate interest to do so, you have the right to object to that use though, in some cases, this may mean no longer using the Services.

Tracking and “DO NOT TRACK”

Tracking involves the use of cookies, web beacons, or other embedded code or tracking technologies to collect, analyze and store information on a user’s behavior over time on multiple sites, including information on the sites visited, products viewed, products purchased and other online interactions. Tracking information can be used to enable companies to make interest-based (behavioral) advertising available to users on multiple sites that they visit.

We do not currently collect Personal Information about your online activities over time and across third-party sites for tracking purposes. However, other parties, including third-party advertisers, ad networks, ad servers, Internet providers and mobile device providers may use cookies, web beacons, or other embedded code or tracking technologies to collect Personal Information about your online activities over time and across third-party sites when you use our Website. We do not control these third parties’ tracking technologies or how they may be used. Our Website does not respond to any “do not track” signals sent by your computer, browser or mobile device, and if your computer, browser or mobile device sends a “do not track” signal to our Website, our Website will not treat you differently from users who do not send such signals. Use of Google Analytics

We use Google Analytics to track and analyze certain traffic and usage statistics regarding the use of our Services, such as the number of visitors to our Website, how visitors are navigating to our Website, visitors’ general geographic region information, how long individuals are visiting our Website, and information about the equipment individuals are using to access our Website (e.g., browser version and operating system). Google Analytics may use a Google Analytics cookie as part of this service, and we may share certain Personal Information with Google Analytics as part of this service. We use this traffic and usage information to gauge, internally, the effectiveness of our advertising efforts and to make improvements to our Services and our marketing and promotional efforts.

You can opt out of our use of certain Google Analytics features by updating the “Ads Settings” in your browser (www.adssettings.google.com/authenticated) or mobile device (www.support.google.com/ads/answer/1660762#mob), by enabling the Google Analytics Opt-out Browser Add-on in your browser (https://tools.google.com/dlpage/gaoptout) or by visiting the Network Advertising Initiative’s Consumer Opt-Out page (www.optout.networkadvertising.org/). Because those opt-out and preference control pages are specific to the individual browser used to visit them, and because those pages are not operated by us, we are unable to perform the opt-outs on your behalf.

No Sales of Personal Information

We do not sell your Personal Information to third parties within the meaning of the California Consumer Privacy Act of 2018 and will not do so in the future without separately obtaining your prior express consent.  

Use and Disclosure of Aggregated or De-Identified Data

We may convert or combine some Personal Information of users into de-identified or aggregated data that does not disclose any of the Personal Information of any individual user. We may disclose any such de-identified or aggregated data without restriction (including traffic and usage data that does not identify you personally).

3. Disclosure of Your Information

We may share your Personal Information with third parties in the following circumstances:

  • Your Personal Information will be disclosed to registered dealers, who may use your Personal Information in preparing and submitting Deal Certificates. We may also append portions of your personal information to our registered dealer reports.
  • We may convert or combine some Personal Information of users into de-identified or aggregated data that does not disclose any of the Personal Information of any individual user. We may disclose any such de-identified or aggregated data without restriction.
  • We may disclose Personal Information to our subsidiaries and affiliates and to any contractors, service providers and other third parties who need to know such information to support our permitted uses of Personal Information. 
  • We may contract with third parties who help us provide the Services, including for payment processing, cloud storage, chatbot operation, voice transcriptions, avatar, video, and image generation, system administration, security, customer relationship management, delivery of goods, search engine facilities, data analytics, advertising, and marketing. In some cases, these third parties may require access to some or all of your information. 
  • We may disclose such Personal Information to a prospective or actual buyer or other successor to our business in the event of a sale of equity or assets, reorganization, merger or a similar corporate transaction. Personal information provided by users will, where it is relevant to any part of our business so transferred, be transferred along with that part, and the new owner or newly controlled party will, under the terms of this Privacy Policy, be permitted to use the information for the purposes for which it was originally collected by us. 
  • Some of the information that we collect from cookies relates to your personal use of the Services and allows us to store information about your preferences, speed up your searches and recognize you when you return to our Services. This traffic data may be shared with third parties.
  • We may also disclose your Personal Information for any other purpose disclosed when the information is provided, and for any other purpose with your consent.
  • We may also disclose your Personal Information to comply with any court order, law or legal process, including to respond to any government or regulatory request and to enforce or apply our Terms of Use or if we believe disclosure is necessary or appropriate to protect the rights, property or safety of our customers or others. This includes exchanging information with other companies and organizations for the purposes of fraud protection and credit risk reduction.
  • If you register or access the Services using an email address with a domain that is owned by your employer or organization, and such organization wishes to establish an account or site or otherwise subscribes to our Services and requests that you are an authorized user under such account, certain information about you including your name, contact info, usage date, performance data, account information, content and use of your account may become accessible to that organization’s administrator and other Services users sharing the same domain. If you are an administrator for a particular site or group of users within the Services, we may share your information with current or past Services users, for the purpose of facilitating Services-related requests.

4. Social Media Sites and Widgets

If you log onto the Services through Facebook or a similar social media site, certain information about you will be transferred to the Services, and the fact that you have logged onto the Services and some of that transferred information may be available to other users of the social media site. We will restrict access to any such transferred information about you to the extent required by the policies of any such social media site, but all transferred information will otherwise be subject to the terms of this Privacy Policy.

You may be able to use social media widgets such as the Facebook Like button on the Services. These widgets will collect your IP address and identify which page you are visiting on the Services, and make your preference information available to third parties. The information collected by such widgets is controlled by third party privacy policies.

5. Third-Party Sites and Services

Our Services may include links to third-party websites. These third-party sites have their own privacy policies and terms of use and are not controlled by this Privacy Policy. You should carefully review any terms, conditions and policies of such third-party sites before visiting them or supplying them with any personal information. If you follow a link to any third-party site, any information you provide that site will be governed by its own terms of use and privacy policy and not this Privacy Policy.

We are not responsible for the privacy or security of any information you provide to a third-party website or the information practices used by any third-party site, including links to any third-party site from our Services. We make no representations, express or implied, concerning the accuracy, privacy, safety, security, or the information practices of any third-party site. The inclusion of a link to a third-party site on our website does not constitute any type of endorsement of the linked site by us. We are not responsible for any loss or damage you may sustain resulting from your use of any third-party website or any information you share with a third-party website.

6. Text Message Alert Program

As part of our Services we may provide an option for each of its users to participate in our SMS text message alert program (the “Text Alert Program”). You can sign up for the Text Alert Program by providing a mobile telephone number to us. We or our third-party service provider provides the Text Alert Program to send information about use of the Application, including, for example, confirming your transactions and use of the Services, communications by or on behalf of your employer, communications with third parties who will provide you services, and to notify you about the services we provide as part of your use of the Services. At this time, we do not use the Text Alert Program for marketing or promotional purposes. By participating in the Text Alert Program, you voluntarily authorize and direct us and our third-party service providers to send text messages using an automated system to your provided mobile telephone number. You are not required to use or subscribe to the Text Alert Program as a condition of using the Application or in order to benefit from other Application features that are unrelated to the Text Alert Program. Standard message and data rates may apply. Once enrolled in the Text Alert Program, you may opt out of the Text Alert Program (i.e., stop all text messages) at any time. With respect to any text message, you may reply STOP to end all messages, or you may opt out by emailing us at support@tradepending.com. Please allow us a few days to process an opt-out request. We may revise, modify, or amend these Text Alert Program terms at any time. Any such revision, modification, or amendment shall take effect when it is posted to the Website. Your continued consent to receive text messages will indicate your acceptance of those changes.

7. Choices About How We Use and Disclose Your Information

You have certain choices regarding the Personal Information you provide to us. You can set your browser to refuse all or some browser cookies. If you disable or refuse cookies, some parts of the Services may then be inaccessible or not function properly.

If you do not wish to have your e-mail address/contact information used by us to promote our own or third parties’ products or services, or if you do not want us to share your personal information with third parties for promotional purposes, such as delivering advertisements according to our advertisers’ target-audience preferences, you can opt-out by logging into the Services and adjusting your user preferences in your account profile by checking or unchecking the relevant boxes or by sending us an e-mail stating your request to support@tradepending.com or within your cookie preferences set forth in our Cookie Policy as described above. For this opt-out to function, you must have your browser set to accept browser cookies. If we have sent you a promotional e-mail, you may send us a return e-mail asking to be omitted from future e-mail distributions. This opt out does not apply to information provided to us as a result of a product purchase, our communication with your regarding a transaction or interaction or use of the Services, product service experience or other transactions.

8. Accessing and Correcting Your Information

You can review and change your personal information by logging into the Services and visiting your account profile page.

You may also send us an e-mail at support@tradepending.com to request access to, correct or delete any personal information that you have provided to us. We cannot delete your personal information except by also deleting your user account. We may not accommodate a request to change information if we believe the change would violate any law or legal requirement or cause the information to be incorrect.

9. Children Under the Age of 13 

Our Services is not intended for children under 13 years of age, and no one under age 13 may provide any information to this Services. We do not knowingly collect personal information from children under 13. If you are under 13, do not use any of the services on the Services, or provide any information about yourself to us, including your name, address, telephone number, e-mail address or any screen name or user name you may use. If we learn we have collected or received personal information from a child under 13 without verification of parental consent, we will delete that information. If you believe we might have any information from or about a child under 13, please contact us at support@tradepending.com.

10. Rights under State Laws

Your California Privacy Rights

If you are a California resident, you may obtain certain information regarding our disclosure of your Personal Information to third parties for their direct marketing purposes. In addition to the other rights set forth herein, you can review, change, and request the deletion of certain portions of your Personal Information collected or processed by us under this policy, in accordance with the California Consumer Privacy Act of 2018 (as amended to date, the “CCPA”) and the following:

  • You may request that we disclose to you certain information about (and, if requested, to receive a portable copy of) the Personal Information about you that we have collected and used in the past 12 months (a “Request to Know”). You may also request that we correct, update, or modify the Personal Information about you that we have collected or that we maintain (a “Request to Correct”). You may also request that we delete the Personal Information about you that we have collected or that we maintain (a “Request to Delete”). You may submit a Request to Know, Request to Correct, or a Request to Delete by sending us an e-mail stating your request to support@tradepending.com. Regardless of the method you use to contact us, please indicate in your communication that you are making a Request to Know, Request to Correct, or a Request to Delete under our Privacy Policy.
  • Upon receipt of your Request to Know, Request to Correct, or Request to Delete, as part of our security measures and as required by law, we will take steps to verify your identity in order to confirm that the person making the request is actually the person about whom we have collected Personal Information (i.e., that the “you” making the request is actually you). We will verify your identity and confirm your request by asking you to confirm and verify certain Personal Information we already have on file for you.
  • We will use reasonable endeavors to accommodate verifiable Requests to Know, Requests to Correct, and Requests to Delete submitted in the manner described above within a reasonable timeframe after receiving such requests. In any event, we will comply with your Request to Know, Request to Correct, and Request to Delete to the extent and in the manner required by applicable law, but we may deny a request, in whole or in part, to the extent an exception applies under (or as otherwise permitted by) applicable law, including the CCPA. For example, we cannot and will not comply with a Request to Know, Request to Correct, or a Request to Delete if we cannot reasonably verify your identity in connection with your request.
  • You may also designate an authorized agent to make a Request to Know, Request to Correct, or Request to Delete on your behalf. To designate an authorized agent to act on your behalf, you or your authorized agent must submit proof that either (1) such agent has actually been authorized in writing to act on your behalf, or (2) you have provided the authorized agent with power of attorney under the applicable laws in your jurisdiction. You may submit such proof by e-mailing us at support@tradepending.com. If a duly-designated authorized agent makes a Request to Know, Request to Correct, or Request to Delete on your behalf, we will still require you to verify your own identity using the process described above, unless an exception applies under applicable law in your jurisdiction (for example, you have submitted verifiable proof to us that you have provided the authorized agent with power of attorney).
  • Where we rely on consent to process your personal information, you may have the right to withdraw this consent at any time by contacting us at support@tradepending.com. If you confirm that you wish to withdraw your consent, we will delete your information from our systems. However, you acknowledge this may limit our ability to provide you with the best possible products and services.
  • You may have the right to object to our processing of personal information, including to object to (i.e., opt out of) your information being used to train our models, by contacting us at support@tradepending.com. You can also object to marketing at any time by using the unsubscribe/opt-out function displayed in our communications to you.
  • If you choose to exercise any of the rights described in the section titled “Accessing or Correcting Your Information,” you will not receive differential treatment by us as a result, except to the extent permitted by applicable law (including if those differences are reasonably related to the value of your Personal Information).

California “Shine The Light” Disclosure

The California Civil Code permits California residents with whom we have an established business relationship to request that we provide a list of certain categories of Personal Information that we have disclosed to third parties for their direct marketing purposes during the preceding calendar year. To make such a request, please send an email to support@tradepending.com or otherwise contact us using the information set forth below. Please mention that you are making a “California Shine the Light” inquiry. Please note, however, that we do not currently disclose any Personal Information to third parties for their own direct marketing purposes. 

Nevada Residents: Sale Opt-Out Rights

Nevada residents who wish to exercise their sale opt-out rights under Nevada Revised Statutes Chapter 603A may submit a request to this designated address: support@tradepending.com. Please mention that you are making a “Nevada Sale Opt-Out Right” request. However, please know we do not currently sell data triggering that statute’s opt-out requirements.

11. Users Outside of the United States

Our Services is hosted in the United States and our services are provided from the United States. It is possible that certain information will be stored on servers in multiple other countries on the “cloud” or other similar distributed hosting platforms. If you are a user accessing our Services or services from the European Union, Asia or any other region with laws governing personal data collection, use, and disclosure that differ from United States laws, please note that you are transferring your Personal Information outside your home jurisdiction, and that by providing your Personal Information you are consenting to the transfer of your Personal Information to the United States and other jurisdictions as indicated above, and to our use of your Personal Information in accordance with this policy.

12. Data Security

We have implemented measures designed to secure your personal information from accidental loss and from unauthorized access, use, alteration and disclosure. All information that you provide to us is stored on our servers behind firewalls and certain Personal Information will be encrypted using secure socket layer (SSL) technology. The safety and security of your information also depends on you. When we have given you (or where you have chosen) a password for access to certain parts of our Services, you are responsible for keeping this password confidential. We ask you not to share your password with anyone.

Unfortunately, the transmission of information over the Internet is not completely secure. Although we have implemented security measures that we think are adequate, we cannot guarantee the security of your Personal Information transmitted to our Services. Any transmission of Personal Information is at your own risk. We are not responsible for circumvention of any privacy settings or security measures contained on the Services.

If you use our server or data center Services, responsibility for securing storage and access to the information you put into the Services rests with you and not us. We strongly recommend that server or data center users configure SSL to prevent interception of data transmitted over networks and to restrict access to the databases and other storage points used.

Many of our products are intended for use by organizations and their employees. Where the Services are made available to you through an organization (e.g. your employer), that organization is the administrator of the Services and is responsible for the accounts, features, certain Personal Information about you, and/or Services sites over which it has control. If this is the case, please direct your data privacy questions to your administrator, as your use of the Services is subject to that organization’s policies. We are not responsible for the privacy or security practices of an administrator’s organization, which may be different than this policy.

Even if the Services are not currently administered to you by an organization, if you use an email address provided by an organization (such as your work email address) to access the Services, then the owner of the domain associated with your email address (e.g. your employer) may assert administrative control over your account and use of the Services and your Personal Information provided as part of the Services at a later date.

13. Retention of Personal Data

We retain your account information for as long as your account is active with us or our Services. For any personal data stored in other parts of the Services, a controller of the system (e.g. CRM) retains and manages your account or profile information. We also retain some of your information as necessary to comply with our legal obligations, to resolve disputes, to enforce our agreements, to support business operations, and to continue to develop and improve our Services. Where we retain information for Services improvement and development, we take steps to eliminate information that directly identifies you, and we only use the information to uncover collective insights about the use of our Services, not to specifically analyze personal characteristics about you.

If the Services are made available to you through an organization (e.g., your employer), we retain your information as long as required by the administrator of your account.

14. Changes to Our Privacy Policy

We post any changes we make to our privacy policy on this page.
